Official Terms and Conditions (“Official Rules”)
1. Sponsor. The “TRUE NORTH STRONG GIVEAWAY” (“Contest”) is sponsored by Vancouver Whitecaps FC L.P., a limited partnership with its principal place of business at Suite 201, 788 Beatty Street, Vancouver, British Columbia CANADA V6B 2M1 (“Sponsor” or “Club”).
2. Eligibility. This Contest is open to legal residents of the province of British Columbia (the “Territory”), who are at least nineteen (19) years of age at the time of entry, with the exception of employees, officers, and directors (including immediate family members (spouse, parent, child and sibling and their respective spouses, regardless of where they reside) and members of the same household, whether or not related) of Sponsor, Major League Soccer, L.L.C. (“MLS”) and its member teams, Soccer United Marketing, LLC (“SUM”), MLS Canada ULC (SUM, MLS Canada ULC and collectively with Sponsor and MLS, the “MLS Entities”) and each of their respective parents, governors, affiliated companies, subsidiaries, licensees, distributors, dealers, retailers, printers and advertising and promotion agencies, and any and all other companies associated with the Contest who are not eligible to participate or win a prize. By participating in this Contest, participants acknowledge compliance with, and agree to be bound by, these Official Rules. Participants who do not comply with any of the Official Rules are subject to disqualification by the Sponsor, in Sponsor’s sole discretion. The Contest is subject to all applicable federal, provincial, and local laws, rules and regulations. Void outside the Territory, in Quebec, and where prohibited or restricted by law, rule or regulation.
3. Participation Period. The Contest begins at 11:00 am PT on 6 March 2025 and ends upon the earlier of (i) a winner claiming the last Instant Prize (defined below), and (ii) 5:00 pm PT on 8 March 2025 (“Participation Period”) after which time the Contest will be closed and no further entries will be accepted. The clock of the Sponsor will be the official time-keeper for this Contest.
4. How to Participate. No purchase is necessary to enter the Contest. Participants may participate using the method of entry below during the Participation Period. No other method(s) will be accepted. Limit one (1) entry per person, per family or per household, as applicable. Multiple entries received from any person or family or household in excess of the stated limitation will be void.
To participate, during the Participation Period, participants must (i) visit the Club’s retail store located at 385 Water Street, Vancouver, British Columbia V6B 5C6 (the “Store”) during any of the following dates and times: Thursday 6 March 2025 (11 am – 5 pm), Friday 7 March (11 am – 5 pm) or Saturday 8 March 2025 (11 am – 5 pm); (ii) bring a Canadian flag with you to the Store, (iii) present the Canadian flag to the Club Store attendant; and (iv) provide your first name, surname, email address or telephone number to the Store Attendant, if so requested (you may also be given the option to receive commercial electronic messages from the Club, MLS Entities and/or its partners; however, eligibility to participate in the Contest is not dependent upon the participant’s consent to receive such emails and consenting to do so will not increase your changes of winning). Participants are solely responsible for means of transportation to get to the Store.
By completing the foregoing, a participant will be eligible to receive one (1) entry in the Contest. Participants must fully complete and submit all non-optional data requested on any entry form to be eligible, if so requested. Incomplete entries are void.
Any attempt or suspected attempt to use any other methods not authorized by these Official Rules, for example, but not limited to, creating multiple accounts, identities, or registrations, all in the Sponsor’s sole discretion, shall be deemed as tampering and may disqualify you from entering, participating and/or winning a prize. Entries that contain false or incomplete information are void. Entries that do not conform with or satisfy any or all of the conditions of the Official Rules are void. Participants grant Sponsor a non-exclusive, fully paid-up and royalty free, licence to use, modify, delete from, add to, publicly perform, publicly display, reproduce and translate all entries for any purpose in any media formats through any media channels throughout the world.
Sponsor reserves the right, in its sole discretion, to disqualify any entry or participants in the Contest if Sponsor views the entry as potentially infringing or otherwise a violation or potential violation of a third party’s rights or if it deems the entry to be lacking in taste, quality, or to be otherwise objectionable. Sponsor reserves the right to waive the participation requirements in its reasonable discretion. Sponsor is not responsible for any claims arising from the entries, specifically including, but not limited to, claims for intellectual property infringement and privacy rights violations, as well as violations of the respective social media platform’s terms and conditions.
5. Contest Prizes. There is a total of one hundred and fifty-eight (158) instant prize(s) available to be won during the Participation Period (each, an “Instant Prize” and collectively, the “Instant Prizes”), with each Instant Prize consisting of one (1) single match ticket to the MLS regular season match between Vancouver Whitecaps FC v. Montreal Impact to take place at BC Place Stadium, Vancouver, British Columbia on 8 March 2025 at 6:30 pm PT (approximate retail value: ARV $38.00 CAD per Instant Prize or $6,004.00 CAD for the Instant Prizes in total). The total number of Instant Prizes available to be won will decrease as they are revealed to winners and claimed in accordance with these Official Rules.
All winners assume any and all liability for any injury or damage caused, or claimed to be caused, by entering, participating in this Contest or the use or redemption of an Instant Prize. Instant Prizes must be accepted as awarded and have no cash value. Each Instant Prize is non-transferable and non-assignable, with no cash redemptions or substitutions except at Sponsor’s sole and absolute discretion. Sponsor reserves the right to substitute the Instant Prize (or portion thereof) with one of comparable or greater value, at its sole and absolute discretion.
6. Odds of Winning. The odds of winning depend on the number of eligible participants or entries received during the Participation Period.
7. Winner Selection and Confirmation. Provided a participant satisfies: (i) the eligibility requirements in Section 2 of the Official Rules, (ii) the participation and entry requirements in Section 4 of the Official Rules, (iii) all other conditions of the Official Rules; and s/he is one of the first one hundred and fifty-eight (158) participants or entries in the Contest eligible to win an Instant Prize (as determined by Sponsor in its sole discretion on a first come, first served basis) and one or more Instant Prizes remain available for claiming, then such participant will be deemed a winner and be entitled to receive one Instant Prize. If a participant does not meet the eligibility criteria or satisfy any other criteria under the Official Rules, s/he will be disqualified and will not receive a prize. Before being declared a winner, a participant will be required to: (i) correctly answer Sponsor’s skill-testing question; and (ii) sign and return Sponsor’s Declaration of Eligibility and Liability/Publicity Release form (“Winner Release”) to (A) confirm compliance with all Official Rules, (B) agree acceptance of any Instant Prize as awarded, and (C) agree the release and indemnification of the Released Parties (as defined in and as set forth in Section 8 below), all in the sole discretion of Sponsor.
Any participant that does not or cannot accept an Instant Prize may be forfeited and a new participant selected as a winner from the next participant in numerical sequence, in Sponsor’s sole discretion. A signed copy of Sponsor’s Winner Release must be received by the Sponsor before a participant can collect an Instant Prize.
8. Release and Indemnification. All participants, as a condition of participation in the Contest, agree to release, discharge and hold harmless the MLS Entities including, for the avoidance of doubt, Sponsor, and each of its and their departments and agencies, parent, related and affiliated companies, subsidiaries, franchisees, advertising and promotional agencies, counsel, marketing partners, and each of their respective directors, officers, employees, shareholders, successors, sponsors, partners, licensees, subsidiaries, agents, artists, advisors, assignees, and all others associated with the administration, development and execution of the Contest (“Released Parties”) from and against any and all manner of action, cause of action, claim or demand, loss or injury, use or misuse of a prize or any travel related thereto, and the use of entries by the Sponsor, suit, debt, covenant, contract, including legal fees and expenses, whatsoever, including but not limited to, claims based on negligence, breach of contract and fundamental breach, failure of any third-party contractor or supplier used in connection with any aspect of the Contest to perform or deliver any goods or services, any act of God or any other event beyond the Released Parties’ control, any dissatisfaction of any kind by a winner with any aspect of the Contest or any prize, liability for physical injury, death, or property damage which the participants, guests, their heirs, successors or assigns have, might have or could have suffered, by reason of or arising out of the entrant’s participation in the Contest and/or in connection with the acceptance and/or exercise by the entrant of prizes as awarded; and (iv) indemnify the Released Parties against any loss, damage or expense, including legal fees, that any of the Released Parties may suffer or incur as a result of any non-compliance by participants with any of the Official Rules or participation in the Contest and/or in connection with the acceptance and/or exercise by an entrant of a prize, and the use of entries by Sponsor.
Sponsor is not responsible for: (i) incorrect or inaccurate entry information that may affect a person’s ability to participate in the Contest or be awarded a prize, including but not limited to human error, technical malfunctions, lost or delayed entries for any reason, mail failures, omission, or any combination thereof, and entries that fail to fully comply with these Official Rules; (ii) technical failures of any kind, including, but not limited to malfunctions, interruptions, or disconnections in phone lines or network hardware or software; (iii) lost, incomplete, delayed, mutilated or misdirected entries or Winner Releases; (iv) injury or damage to participants’ computers or to any other individual’s computer related to or resulting from participating in, or downloading any material regarding the Contest or accepting a prize; (v) any injury or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from entrant’s participation in the Contest or receipt or use or misuse of any prize, including any related travel and the use of entries by Sponsor; (vi) the security or privacy of information transmitted via computer networks or for breaches of privacy due to interference by third-party computer hackers or otherwise; or (vii) late, lost, misdirected or unsuccessful efforts to notify a potential winner.
9. Other Conditions. Sponsor reserves the right to terminate or amend this Contest at any time and in any way, without prior notice to participants. Without limiting the foregoing, if, for any reason, the Contest is not capable of running as originally planned for any reason, Sponsor reserves the right to cancel the Contest and conduct a random draw from all previously received eligible entries received during the Participation Period.
10. Publicity and Entrant Information. By participating in the Contest, participants consent to the use of their name, address, email address, postal code, telephone number, social media handle(s), comments and image, whether on videotape, photograph or any other means, for the administration of the Contest or any publicity carried out by the Sponsor, without further notice or compensation.
11. Privacy/Use of Personal Information. Sponsor respects the participants’ right to privacy. Personal information collected from participants will only be used by Sponsor to administer the Contest and, if only consent is actively given at the time of entry, to deliver commercial emails or other electronic communications of a commercial nature to participants from Sponsor or third parties (in which case disclosure of an entrant’s personal information shared with a third party will be subject to that party’s privacy policies and practices). For more information regarding the manner of collection, use and disclosure of personal information by the Sponsor/Club, please refer to MLS Terms of Use and Privacy Policy, each of which can be found by visiting http://www.mlssoccer.com/terms-service and http://www.mlssoccer.com/privacy-policy (both of which are incorporated herein by reference).
12. Law. The Contest is void where prohibited by law and is subject to all applicable Canadian federal, provincial, territorial, municipal and local laws. This Contest shall be governed exclusively by the laws of the province of British Columbia, including all issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, rights and obligations between participants and Sponsor, and procedural provisions, without giving effect to any choice of law or conflict of law rules. Any dispute shall be adjudicated by the courts sitting in Vancouver, British Columbia.
13. Rule Amendments. Sponsor reserves the right, in its sole discretion, to amend or modify these Official Rules, or modify, cancel or suspend this Contest, without prior notice for any reason whatsoever, including without limitation in the event that any cause beyond the reasonable control of Sponsor corrupts, or threatens to corrupt, the security or proper administration of the Contest.
14. Intellectual Property. All intellectual property, including but not limited to trademarks, logos, designs, promotional materials, web pages, source codes, images, drawings, illustrations, slogans and representations are owned by Sponsor or property of their respective owners. All rights reserved. Unauthorized copying or use of any intellectual property without the express written consent of Sponsor is strictly prohibited.
15. Contest Administration and Sponsor. The Contest is in no way sponsored, endorsed, or administered by or associated with the MLS Entities (other than Sponsor), Facebook, Instagram or any other social media service or platform. The Sponsor of this Contest is:
